What the numbers mean for businesses
Much of the value lost on contracts is lost after signing. World Commerce & Contracting estimates average contract value erosion at 8.6%, and a study Ironclad ran with WorldCC puts procurement value leakage at 11%. Icertis found that nearly 60 percent of US procurement leaders learned in the past year that they were paying suppliers more than their contracts required, and one-third estimate losses of more than $1 million a year in unrealized supplier commitments.
Contract software has not closed the gap. Only 43% of CLM decision-makers in a 2026 Forrester study for Ironclad were satisfied with their platform, 76% said their contract data was only somewhat integrated with other systems, and 36% were running more than one CLM. Software contracts add their own surprises: 78% of IT leaders reported unexpected charges tied to AI features or consumption pricing in the past year.
The practical step is to know what each contract obliges the other side to do, and to check invoices and renewals against it. Nearly 80% of US procurement leaders say they enter supplier negotiations without all the information they need, so a short summary of the key terms of each agreement, kept where buyers can find it, is a practical place to start.
What the numbers mean for freelancers and workers
The FTC estimated in 2024 that 30 million US workers, nearly one in five, are bound by a noncompete. The FTC's Non-Compete Clause Rule no longer applies after the agency's 3-1 vote in September 2025 to dismiss its appeals and accept vacatur, so whether a noncompete holds now depends on state law.
Payment is a common freelance contract problem. New York City freelancers filed 2,542 complaints with the city under the Freelance Isn't Free Act in fiscal years 2019 to 2023, most about late payment or non-payment, and 51% involved contracts worth $5,000 or less. At least 773 freelancers reported recovering $2.9 million. Illinois now protects freelance work worth $500 or more in a 120-day period. With a record 74.9M Americans earning income independently in 2026, a written contract with a clear payment date and late fee is a basic protection.
Reading the terms is still rare. In a May 2023 Pew survey, 56% of US adults said they frequently click agree without reading privacy policies, and a 2014 study found only 1 or 2 in 1,000 software shoppers opened the licence agreement.
What to do before you sign
- Read the clauses that cost money first: payment terms, price increases, auto-renewal and termination notice.
- Do not rely on an automated tool alone for redlining. In the February 2025 Vals benchmark, lawyers scored 79.7% on contract redlining, ahead of every tool tested.
- Check the dispute clause. The median LCIA arbitration that reached a final award cost USD 117,653 and took 20 months (awards from 2017 to May 2024), so venue and cost terms matter before any dispute starts.
- Confirm noncompete and non-solicitation terms against your state's law, since the federal rule no longer applies.
- Keep a dated copy of the signed agreement and a list of what each side must deliver and when.
Check your contract before you sign
The figures on this page point to the same few clauses again and again: payment and pricing terms, renewal and termination notice, noncompetes and the dispute process. An automated review of your contract flags those clauses, rates the risk and explains each one in plain English, so you know what to question or ask to change before you sign.
- Payment amount, due date, late fees and what counts as acceptance of the work
- Price increase rights and caps at renewal
- Auto-renewal terms and how many days' notice you need to cancel
- Termination rights for each side and any fees for ending early
- Noncompete and non-solicitation scope, length and geography
- Limitation of liability and indemnification, and whether they apply to both sides
- Governing law, venue and any mandatory arbitration or class-action waiver
- Who owns the work, the data and any pre-existing materials
