SOCIAL MEDIA MANAGEMENT AGREEMENT

This Agreement is made on [DATE] between [MANAGER NAME / AGENCY] ("Manager") and [CLIENT NAME] ("Client").

1. SERVICES. Manager will manage Client's accounts on [PLATFORMS, e.g., Instagram, LinkedIn, TikTok], including: [NUMBER] posts per week per platform; content creation [graphics / short videos / copy]; community management [DAYS AND HOURS, e.g., weekdays 9am–5pm, responses within one business day]; and a monthly performance report.

2. EXCLUDED SERVICES. Unless added in writing, the Services exclude paid advertising management, influencer outreach, photography shoots, crisis management outside working hours and customer service beyond public comments.

3. CONTENT APPROVAL. Manager will send a content calendar by [DAY] each week. Client will approve or request changes within [2] business days. Content not commented on within that time may be published [or: will not be published without approval].

4. ACCOUNT ACCESS AND OWNERSHIP. Client owns its social media accounts and will grant Manager access through platform business tools where possible, not by sharing personal passwords. Manager will follow Client's security instructions and will not change account ownership settings.

5. FEES. Client will pay [AMOUNT] per month in advance by [DATE] each month. Late payments accrue [1]% per month or the maximum allowed by law, if lower. Manager may pause Services while payment is more than [10] days overdue.

6. AD SPEND [IF APPLICABLE]. Advertising budgets are paid by Client directly to the platforms using Client's payment method. Management of paid campaigns is billed at [FEE OR PERCENTAGE OF AD SPEND].

7. CONTENT OWNERSHIP. On payment, Client owns the published content created for Client. Manager retains its templates, processes and pre-existing materials. Stock images, music and fonts are used under their licences, which may limit reuse.

8. COMPLIANCE. Client is responsible for the accuracy of claims about its products and for providing required disclosures. Manager will follow platform rules and include FTC-required disclosures for sponsored or endorsed content.

9. NO GUARANTEED RESULTS. Manager does not guarantee followers, engagement, reach, leads or sales, which depend on platforms and factors outside Manager's control.

10. TERM AND TERMINATION. This Agreement starts on [DATE] and continues month to month. Either party may end it with [30] days' written notice. On termination, Manager will remove its access and provide the content calendar and assets created for Client.

11. LIABILITY. Manager's total liability is limited to fees paid in the [3] months before the claim.

12. GOVERNING LAW. This Agreement is governed by the laws of [STATE].


GENERAL PROVISIONS
(a) Notices. Notices must be in writing and sent to the addresses or emails above (or as later updated by notice). Email notice is effective when sent, unless the sender receives a delivery failure message.
(b) Entire agreement. This agreement, with any schedules and exhibits, is the entire agreement between the parties on its subject and replaces all prior discussions and agreements on that subject.
(c) Amendments and waivers. Changes must be in writing and signed by both parties. A failure or delay in enforcing any term is not a waiver of it.
(d) Severability. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of this agreement will remain in effect.
(e) Assignment. Neither party may assign this agreement without the other party's written consent, except to a successor in a merger or sale of substantially all of its business, on notice.
(f) Relationship. Nothing in this agreement creates a partnership, joint venture or agency relationship unless expressly stated.
(g) Counterparts and electronic signatures. This agreement may be signed in counterparts and by electronic signature, each of which is an original and together form one agreement.
(h) Independent advice. Each party has had the opportunity to review this agreement with its own legal counsel and signs it voluntarily.
