FREELANCE SERVICES AGREEMENT

This Agreement is made on [DATE] between [CLIENT] ("Client") and [FREELANCER] ("Freelancer").

1. SCOPE. Freelancer will deliver the work described in Exhibit A (the "Deliverables").

2. FEES & PAYMENT. Total fee: $[AMOUNT]. A [50]% deposit is due on signing; the balance is due on delivery. Invoices are payable within [15] days.

3. REVISIONS. The fee includes [2] rounds of revisions. Additional revisions are billed at $[RATE]/hour.

4. KILL FEE. If Client cancels before completion, Client pays for work performed plus a kill fee of [25]% of the remaining fee.

5. INTELLECTUAL PROPERTY. On full payment, Freelancer assigns the final Deliverables to Client. Freelancer retains pre-existing materials and the right to display the work in their portfolio.

6. APPROVAL. Deliverables are deemed accepted if Client does not provide written, specific revision requests within [7] days.

7. INDEPENDENT CONTRACTOR. Freelancer is an independent contractor responsible for their own taxes.

8. LIABILITY. Freelancer's total liability is capped at the fees paid.
