WEB DEVELOPMENT AGREEMENT

This Agreement is between [CLIENT] and [DEVELOPER], dated [DATE].

1. SCOPE. Developer will design and build the [website/application] described in Exhibit A.

2. FEES. Total $[AMOUNT]; a [50]% deposit is due on signing and the balance on launch. Hosting and third-party services are billed separately.

3. TIMELINE & MILESTONES. [List milestones and dates].

4. REVISIONS. [2] rounds of revisions are included; additional work is billed at $[RATE]/hour.

5. INTELLECTUAL PROPERTY. On full payment, Developer assigns the custom code and deliverables to Client. Open-source components and Developer's pre-existing libraries remain under their own licenses, with a license to Client to use them as embedded in the deliverable.

6. ACCEPTANCE. Client reviews each deliverable within [7] days; silence constitutes acceptance.

7. WARRANTY. Developer will fix reported bugs for [30] days after launch at no charge.

8. PORTFOLIO. Developer may display the work in its portfolio.

9. LIABILITY. Developer's total liability is capped at the fees paid.
