PHOTOGRAPHY SERVICES AGREEMENT

This Agreement is made on [DATE] between [PHOTOGRAPHER NAME / BUSINESS] ("Photographer") and [CLIENT NAME] ("Client").

1. SHOOT DETAILS. Date: [DATE]. Time: [START–END]. Location: [ADDRESS]. Type of shoot: [e.g., product, headshots, event]. Estimated number of final edited images: [NUMBER].

2. FEES. Creative fee: [AMOUNT]. Usage licence fee: [AMOUNT]. Expenses (travel, props, location fees, assistants): [AMOUNT OR "billed at cost with receipts"]. Total: [AMOUNT].

3. DEPOSIT AND PAYMENT. A non-refundable deposit of [50]% is due to reserve the date. The balance is due [before delivery / within [15] days of delivery]. Final images are delivered after payment in full.

4. DELIVERY. Photographer will deliver edited images via [online gallery / download link] within [NUMBER] business days after the shoot. Raw files are not included unless stated here: [RAW FILES INCLUDED? YES/NO, FEE].

5. COPYRIGHT AND USAGE LICENCE. Photographer owns the copyright in all images. On payment in full, Photographer grants Client a [non-exclusive / exclusive] licence to use the final images for [MEDIA, e.g., website, social media and print marketing] in [TERRITORY, e.g., the United States] for [DURATION, e.g., two years / perpetually]. Any other use, including advertising, packaging or resale, requires a separate licence. Client may not sell, sublicense or claim authorship of the images.

6. EDITING. Client may crop and resize images for layout but will not otherwise alter them without Photographer's approval.

7. CREDIT AND PORTFOLIO. Photographer may use images in its portfolio and marketing [after [DATE] / unless Client requests otherwise in writing]. [Credit line where practical: "Photo: [NAME]".]

8. MODEL AND PROPERTY RELEASES. [Client / Photographer] is responsible for obtaining signed model releases from people appearing in the images and property releases where needed, covering the licensed uses.

9. CANCELLATION AND RESCHEDULING. If Client cancels, the deposit is retained. If Client cancels within [7] days of the shoot, [50]% of the creative fee is also due. One reschedule is permitted with [7] days' notice, subject to availability. If Photographer cannot attend due to illness or emergency, Photographer will offer a qualified replacement or a new date, or refund all payments; Photographer's liability is limited to the amount paid.

10. LIABILITY. Photographer's total liability for any claim, including loss or corruption of images, is limited to the fees paid under this Agreement.

11. GOVERNING LAW. This Agreement is governed by the laws of [STATE].


GENERAL PROVISIONS
(a) Notices. Notices must be in writing and sent to the addresses or emails above (or as later updated by notice). Email notice is effective when sent, unless the sender receives a delivery failure message.
(b) Entire agreement. This agreement, with any schedules and exhibits, is the entire agreement between the parties on its subject and replaces all prior discussions and agreements on that subject.
(c) Amendments and waivers. Changes must be in writing and signed by both parties. A failure or delay in enforcing any term is not a waiver of it.
(d) Severability. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of this agreement will remain in effect.
(e) Assignment. Neither party may assign this agreement without the other party's written consent, except to a successor in a merger or sale of substantially all of its business, on notice.
(f) Relationship. Nothing in this agreement creates a partnership, joint venture or agency relationship unless expressly stated.
(g) Counterparts and electronic signatures. This agreement may be signed in counterparts and by electronic signature, each of which is an original and together form one agreement.
(h) Independent advice. Each party has had the opportunity to review this agreement with its own legal counsel and signs it voluntarily.

Do photographers keep the copyright?
