GRAPHIC DESIGN AGREEMENT

This Agreement is made on [DATE] between [DESIGNER NAME / BUSINESS] ("Designer") and [CLIENT NAME] ("Client").

1. PROJECT AND DELIVERABLES. Designer will create [DESCRIBE, e.g., a logo and brand identity: primary logo, secondary mark, color palette and typography guide] ("Deliverables"), delivered as [FILE FORMATS, e.g., AI, SVG, PNG and PDF].

2. CONCEPTS AND REVISIONS. Designer will present [3] initial concepts. Client will select one concept for refinement. The fee includes [2] rounds of revisions on the selected concept. A revision round is one consolidated set of written feedback. Further revisions or new concepts are billed at [$ per hour] with Client's prior approval.

3. FEES AND PAYMENT. The total fee is [AMOUNT]. Client will pay a non-refundable deposit of [50]% before work begins and the balance on delivery of final files. Invoices are due within [15] days. Late balances accrue [1]% per month or the maximum allowed by law, if lower.

4. TIMELINE. Designer will deliver initial concepts within [NUMBER] business days after receiving the deposit and all required materials. Client will provide feedback within [5] business days of each delivery. Delays caused by Client extend the timeline.

5. CLIENT MATERIALS. Client confirms it has the right to use all materials it supplies (text, photos, logos) and will indemnify Designer for claims arising from those materials.

6. OWNERSHIP. On receipt of full payment, Designer assigns to Client all rights in the final approved Deliverables. Unused concepts, sketches and working files remain Designer's property. Designer retains ownership of pre-existing materials and tools, and any licensed fonts or stock assets are subject to their own licence terms, which Client may need to purchase.

7. PORTFOLIO. Designer may display the Deliverables in its portfolio and marketing after public release.

8. CANCELLATION AND KILL FEE. Client may cancel on written notice. On cancellation, Client will pay for work completed to date and a kill fee of [25]% of the remaining fee. The deposit is non-refundable. Rights in unfinished work remain with Designer.

9. WARRANTIES AND LIABILITY. Designer warrants the final Deliverables are original, except for materials supplied by Client or licensed third-party assets. Designer is not responsible for trademark clearance; Client should conduct its own trademark search before use. Designer's total liability is limited to the fees paid under this Agreement.

10. INDEPENDENT CONTRACTOR. Designer is an independent contractor and controls how the work is performed.

11. GOVERNING LAW. This Agreement is governed by the laws of [STATE].


GENERAL PROVISIONS
(a) Notices. Notices must be in writing and sent to the addresses or emails above (or as later updated by notice). Email notice is effective when sent, unless the sender receives a delivery failure message.
(b) Entire agreement. This agreement, with any schedules and exhibits, is the entire agreement between the parties on its subject and replaces all prior discussions and agreements on that subject.
(c) Amendments and waivers. Changes must be in writing and signed by both parties. A failure or delay in enforcing any term is not a waiver of it.
(d) Severability. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of this agreement will remain in effect.
(e) Assignment. Neither party may assign this agreement without the other party's written consent, except to a successor in a merger or sale of substantially all of its business, on notice.
(f) Relationship. Nothing in this agreement creates a partnership, joint venture or agency relationship unless expressly stated.
(g) Counterparts and electronic signatures. This agreement may be signed in counterparts and by electronic signature, each of which is an original and together form one agreement.
(h) Independent advice. Each party has had the opportunity to review this agreement with its own legal counsel and signs it voluntarily.
