How Long Does It Take to Form an LLC? Processing Times by State

How long is the LLC processing time by state?

In many states, an online LLC filing is approved within a week. Of the 50 states and DC, 12 file same day or instantly online and 11 more within 5 business days. A few are slower: Maine runs 10 to 15 business days, and Maryland reviews standard filings in the second calendar month.

You can pick a business name in an afternoon. Getting the state to say yes takes longer, and how much longer depends almost entirely on where you file and how you file. In Colorado, online filings go through in real time once payment clears. In Maryland, a filing without an expedite fee waits until the second calendar month after you submit it.

That gap matters if you have a client lined up, a lease to sign or a bank account to open. This page collects the processing times each state publishes, the paid options for skipping the line, and what to do with the waiting period so it does not cost you work.

December 2024 is omitted because its link opens the November report. May 2025 is the latest report posted. California's backlog peaked at 15 days in April 2024, then held at 3 to 5 days from June 2024 through May 2025. Treat a quoted state time as a snapshot, because the same office went from 8 days to 15 in three months.

Maryland is left out because it states the review month rather than a day count (non-expedited filings are reviewed in the second calendar month after submission). These are the slow ends of each published range, which is the number you should plan around. Maine at 15 and Arizona at 11 business days stand out; Vermont online filings take under 1 business day.

Fees are charged on top of the regular filing fee. Wyoming's $1,400 same-day tier is not shown because it does not apply to filings that can be completed online, such as initial formations. Source: California Secretary of State, Service Options (expedited filing).

California and Texas both charge $750 for same-day service, while New York charges $75. The fee buys speed only. It does not change what the state reviews or fix a rejected filing.

How long does it take to get an LLC approved?

For most people filing online, the answer is somewhere between a few minutes and about a week. Twelve states file same day or instantly online. Wyoming says an online LLC is active immediately. South Dakota and Kansas both process online filings right away. Another 11 (10 states plus DC), including Arkansas, Kentucky and Rhode Island, come in at 5 business days or less.

Then there is a slower group. Georgia quotes 7 to 10 business days for online filings, Arizona 9 to 11 for non-expedited new LLCs, and Maine 10 to 15. Maine's number is actually an improvement; archived copies of its page showed 40 to 55 business days from May to September 2026.

Maryland is the outlier. It does not give a day count for regular filings. It says they are reviewed during the second calendar month after submission. If you file in early October without paying extra, you may not hear back until December.

Fifteen states publish no standard time at all. Delaware, New York and Texas fall in this group, and all three sell paid expedite tiers instead. If your state is on that list, assume the regular queue could take a week or more, and call the filing office if you need a firmer date.

Is it worth paying to expedite an LLC filing?

Sometimes. If your state already approves online filings in a day or two, paying extra mostly buys peace of mind. If you are in Maryland, Maine or Arizona and you have a contract start date coming up, the fee can be the cheapest fix available.

Prices are all over the place. Texas offers Standard Expedited for $50, which typically takes 2 to 3 business days, and charges $750 for same day. Delaware charges $50 for 24-hour service on an LLC formation and $1,000 for one-hour service. New York charges $25 for 24 hours and $75 for same business day. Maryland's Rush option costs $325 online, and its regular expedited track still means an initial review in 7 to 14 business days.

A simple test: compare the fee to what a week of delay would cost you. If a client will not pay an unformed company, or a landlord wants the LLC on the lease before move-in, a $100 fee is easy to justify. If nothing is waiting on the approval, save the money.

One catch: some fast tiers only work in person or for paper filings. Ohio's 4-hour option is in person only, and Wyoming's $1,400 same-day tier does not apply to initial formations filed online, which are active immediately anyway. Read the fine print on your state's fee schedule before you pay.

Why is filing by mail so much slower?

Paper often sits in a slower queue than online filings. Georgia processes online filings in 7 to 10 business days but paper in 15. Vermont online filing normally takes less than 1 business day, while mailed filings need 7 to 10 business days. Wyoming allows up to 15 business days for mailed documents even though online formations are active immediately.

Add the days the envelope spends in transit and the gap widens. Unless your state does not offer online filing for your document, file online. Some states, like Tennessee, no longer accept documents prepared outside the online system at all.

Can I start doing business before my LLC is approved?

You can prepare. You should be careful about signing. Until the state approves the filing, the company you are signing for may not exist yet, and a contract signed in the LLC's name before then can leave you personally on the hook for it. Rules on this vary by state, so check before you sign anything large.

The safer routes are to wait for approval, to sign in your own name and assign the contract to the LLC later with the other side's written consent, or to add a line saying the contract takes effect once the company is formed. If you sign in your own name, ask the other side to agree in writing that you are released once the LLC takes over; an assignment alone may leave you on the hook. Most clients will accept a short delay if you tell them up front.

Say you are a freelance designer in Georgia who just landed a retainer that starts next week. Your online filing could take 7 to 10 business days. You could pay $275 for same-day service, or you could sign as yourself and move the contract to the LLC once it exists. Either works. What does not work is signing as an LLC that does not exist yet and hoping nobody notices.

What to line up while you wait

The processing window is useful time. Several steps can only happen after approval, so get everything else ready now:

  • Draft your operating agreement, even for a single-member LLC, so it is ready to sign the day you are approved.
  • Gather what the bank will ask for: your approved formation document, your EIN and your operating agreement.
  • Apply for your EIN as soon as the approval arrives, since the IRS asks for the legal name the state accepted.
  • Update your contract templates, invoices and proposals with the exact LLC name, including the LLC suffix.
  • Tell clients and landlords your expected approval date, based on the slow end of your state's range, not the fast end.
  • Check your state's page again before filing. Posted times change. Hawaii and Texas both moved to new filing systems in 2026, and Nebraska switches in December.

Why posted processing times are only a starting point

States publish these numbers in different ways. California and Florida post the receipt date they are currently working on rather than a day count. Idaho does not say whether its 7 to 10 days are business or calendar days. Texas launched a new filing portal on September 29, 2026, and Nebraska is moving to a new system on December 7, 2026. New systems tend to bring short-term delays.

Pennsylvania shows how fast things can turn. Its average for business filings was 13.6 days in 2023 and has been 1 business day since May 2025. Use this page to set expectations, then confirm on your state filing office's site the week you file.

How ClauseAudit helps

Once your LLC is approved, the operating agreement is what decides how the company actually runs: who owns what, who can sign, and what happens if a member wants out. Upload yours, or a draft from a partner, and an automated review flags the clauses most people skim past.

It is also worth running any contract you signed before approval through a check, so you know whether it binds you personally or the company.

  • Company name and member names match the approved state filing exactly
  • Who has authority to sign contracts and open accounts for the LLC
  • Ownership percentages, capital contributions and what happens on a capital call
  • Buy-sell terms when a member leaves, dies or wants to sell
  • Deadlock and dissolution steps for two-member LLCs
  • Pre-formation contracts and whether the LLC formally adopts them

Frequently asked questions

What is the fastest state to form an LLC?

Several states approve online filings almost instantly. Colorado files online documents in real time once payment is confirmed, Wyoming makes online entities active immediately, and Kansas and South Dakota process online filings right away. Twelve states fall in the same-day or instant group. In practice, the fastest state is usually the one where you actually do business, since forming elsewhere means registering in your home state too.

How long does it take to get an LLC in California?

California reported an average of 4 days for business entity filings in May 2025. On October 16, 2026, staff were reviewing online LLC formations received two days earlier. If you need it faster, California offers 24-hour service for $350 and same-day service for $750, online or by drop-off.

How long does an LLC take in Texas?

Texas does not publish a routine processing time. It does sell faster service: Standard Expedited costs $50 and typically takes 2 to 3 business days, Next-Day costs $500, and Same-Day costs $750. Texas also moved to a new filing portal on September 29, 2026, so check current conditions before you file.

Why is my LLC filing taking longer than the posted time?

Posted times reflect the queue on a given day, and queues change. A rejected filing restarts the clock, as does a name conflict or a missing signature. Some states also hold filings with attachments for manual review; Virginia, for example, warns of a five business day delay for online filings with an attachment or restricted word in the name. Call the filing office if you are well past the slow end of the range.

Does paying to expedite guarantee approval?

No. An expedite fee moves your filing up the line, but the state still reviews it the same way. If the name is taken or a required field is missing, it will be rejected faster, not approved. The fee is also charged on top of the regular filing fee, not instead of it.

How long does it take to form an LLC in Maryland?

Without an expedite fee, Maryland reviews LLC filings during the second calendar month after submission. Paying for expedited service gets an initial review in 7 to 14 business days. The Rush option costs $325 online and is reviewed within three hours if you submit before 2:30 p.m.

Should I file my LLC online or by mail?

Online, almost always. Mailed filings sit in a slower queue in most states that publish both times. Georgia, for example, processes online filings in 7 to 10 business days and paper in 15, and Vermont's online filing normally takes under 1 business day compared with 7 to 10 for mail.

When can I open a business bank account for my LLC?

After the state approves your filing and you have an EIN. Banks usually ask for the approved formation document, the EIN confirmation and often your operating agreement. Since the EIN application asks for the company's legal name, wait for approval before applying, then have the rest of your paperwork ready so the account can be opened the same week.
