At-Will Employment Agreement

EMPLOYMENT AGREEMENT

This Agreement is between [COMPANY] and [EMPLOYEE], dated [DATE].

1. POSITION. Employee will serve as [TITLE], reporting to [MANAGER], on a full-time basis.

2. COMPENSATION. Base salary of $[AMOUNT] per year, paid [bi-weekly]. Employee may be eligible for a [discretionary bonus] under Company policy.

3. BENEFITS. [Health, dental, vision] insurance, [401(k)], and [15] days of paid time off, subject to plan terms.

4. AT-WILL EMPLOYMENT. Employment is at will; either party may end it at any time, with or without cause or notice. [Employee is asked to give two weeks' notice.]

5. CONFIDENTIALITY & IP. Employee will sign and comply with the Company's Confidentiality & Invention Assignment Agreement.

6. RESTRICTIVE COVENANTS. Any non-compete or non-solicit must comply with the law of the state where Employee works and is void where prohibited (for example, employee non-competes are void in California).

7. GOVERNING LAW & DISPUTES. [STATE]; [specify whether arbitration applies]. If you add an arbitration clause, note that under 9 U.S.C. § 402 a person alleging sexual assault or sexual harassment may elect to bring that claim in court and to proceed collectively, whatever the clause says.

8. ENTIRE AGREEMENT. This Agreement is the entire understanding and supersedes prior agreements.

IMMUNITY NOTICE (18 U.S.C. § 1833(b)). Notwithstanding anything in this Agreement, you may not be held criminally or civilly liable under any federal or state trade secret law for disclosing a trade secret (a) in confidence to a federal, state or local government official, either directly or indirectly, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law, or (b) in a complaint or other document filed under seal in a lawsuit or other proceeding. If you sue for retaliation for reporting a suspected violation of law, you may disclose the trade secret to your attorney and use it in the proceeding, provided you file any document containing it under seal and do not otherwise disclose it except by court order.
