Georgia Non-Disclosure Agreement (NDA) Review

Georgia is unusual in spelling out, by statute, that an NDA does not need an end date. Under the Restrictive Covenants Act, O.C.G.A. 13-8-53(e), a covenant protecting confidential information or trade secrets can last for as long as the information remains confidential. Trade secrets themselves fall under the Georgia Trade Secrets Act, O.C.G.A. 10-1-760 and following, Georgia's version of the uniform act.

Confidentiality & trade secrets in Georgia

Georgia protects trade secrets under its version of the Uniform Trade Secrets Act, and the federal Defend Trade Secrets Act applies on top. A reasonable NDA is enforceable, but courts still look at scope, an over-broad definition of "confidential information" with no exclusions is the most common weakness.

Watch for a non-compete inside the NDA

Enforceable under the Restrictive Covenants Act if reasonable. Courts may "blue-pencil" overbroad terms.

A confidentiality agreement should protect information, not restrict who you can work for. If an NDA in Georgia also tries to bar you from competitors or from soliciting contacts, treat that as a separate restrictive covenant and judge it by Georgia's non-compete rules above.

How long can a Georgia NDA last?

Before 2011, Georgia courts often struck confidentiality agreements that lacked a time limit. The Restrictive Covenants Act, which applies to agreements signed on or after May 11, 2011, changed that. Section 13-8-53(e) says nondisclosure covenants need not have a time limit if they protect information that remains confidential or a trade secret.

So the fight in a Georgia NDA is less about duration and more about definition. If confidential information is defined to include things that are publicly available or that you knew before, the 'as long as it remains confidential' language does not save those parts.

What about non-solicits inside a Georgia NDA?

O.C.G.A. 13-8-57 presumes a post-employment restraint of two years or less reasonable, and one over two years unreasonable. Since 2011, Georgia courts may also modify overbroad terms rather than strike them. Customer non-solicits generally must be limited to customers you had material contact with.

Georgia has no general statute restricting NDAs in harassment cases as of 2026. The federal Speak Out Act covers pre-dispute sexual harassment and assault NDAs.

A Georgia-specific drafting tip

Ask that the definition of confidential information be limited to information that the employer actually treats as confidential and that is not generally known in the industry. Georgia's statute only protects information that has value to the employer and is not generally known to competitors, so an NDA that matches that wording tracks the law and is easier for both sides to apply later.

What ClauseAudit checks in a Georgia NDA

  • Definition of "confidential information", narrow, or everything?
  • The four standard exclusions (public, already known, independently developed, third-party)
  • Duration, a defined term, or a perpetual obligation?
  • A "residuals" clause allowing use of what is remembered
  • Any bundled non-compete or non-solicitation, judged by Georgia law
  • Return/destruction obligation and one-sided injunctive relief

Georgia NDA FAQ

Is an NDA enforceable in Georgia?

Yes, a reasonable confidentiality agreement is generally enforceable in Georgia, backed by the state’s Uniform Trade Secrets Act and, at the federal level, the Defend Trade Secrets Act. What matters is scope: an NDA with an over-broad definition of "confidential information," no standard exclusions, or a perpetual term is far weaker than it looks and worth narrowing.

Can an NDA include a non-compete in Georgia?

NDAs sometimes bundle in non-compete or non-solicitation language, and in Georgia a reasonable non-compete can be enforceable, Enforceable under the Restrictive Covenants Act if reasonable. Courts may "blue-pencil" overbroad terms. A confidentiality agreement should not quietly restrict who you can work for, so flag any non-compete inside it.

What makes an NDA fair in Georgia?

A sound NDA defines confidential information narrowly, includes the standard exclusions (public information, what you already knew, what you independently develop, and what a third party gives you), has a defined term rather than a perpetual one, and does not include a broad "residuals" clause or a hidden non-compete. ClauseAudit checks each of these against Georgia law.

Can Georgia enforce a non-compete buried in an NDA?

Georgia is one of 34 jurisdictions where a non-compete is generally enforceable if reasonable in duration, geography and scope. Enforceable under the Restrictive Covenants Act if reasonable. Courts may "blue-pencil" overbroad terms. Confidentiality obligations are a separate question and are not affected by any of that, which is why a restraint tucked into an NDA deserves reading on its own terms rather than as part of the secrecy clause.

If the restriction in my Georgia agreement is too broad, what happens?

Courts may rewrite an overbroad restriction to something reasonable. That cuts against you: an employer has little to lose by drafting wide, because a court can pare the clause back rather than discard it. Negotiating the wording before signing matters more here than in states where an overbroad clause simply fails.

Does it matter which state's law the agreement names?

It can, because Georgia's neighbours do not all agree: Tennessee (limited). Which law applies turns on the governing-law and venue clauses and on where the work is actually done, so those two clauses are worth reading before signing an NDA.

Is a Georgia NDA with no end date enforceable?

For agreements signed after May 11, 2011, often yes. O.C.G.A. 13-8-53(e) allows confidentiality covenants to last as long as the information stays confidential or a trade secret. But once information becomes public through no fault of yours, the obligation should end. Make sure the NDA says so expressly.

Does Georgia's two-year presumption apply to confidentiality clauses?

No. The two-year presumption in O.C.G.A. 13-8-57 is about non-competes and non-solicits. Confidentiality covenants are carved out by 13-8-53(e), so they can outlast two years. If your NDA bundles a non-solicit, that piece is still measured against the two-year presumption.
