Consulting Agreement

CONSULTING AGREEMENT

This Agreement is made on [DATE] between [CLIENT] and [CONSULTANT].

1. SERVICES. Consultant will provide [advisory/consulting services] as described in Exhibit A.

2. FEES. $[RATE] per [hour/month], invoiced [monthly], payable within [15] days. Pre-approved expenses are reimbursed.

3. INDEPENDENT CONTRACTOR. Consultant is an independent contractor responsible for their own taxes and benefits.

4. INTELLECTUAL PROPERTY. Work product created for Client is assigned to Client on payment; Consultant retains pre-existing methods and general knowledge.

5. CONFIDENTIALITY. Consultant protects Client's confidential information during and after the engagement.

6. NON-SOLICITATION. During the term and for [12] months after, Consultant will not solicit Client's employees (where enforceable by law).

7. TERM & TERMINATION. Either party may terminate with [14] days' written notice; Client pays for services rendered.

8. LIABILITY. Consultant's total liability is capped at the fees paid in the prior [6] months.
