West Virginia SaaS Agreement Review

West Virginia has little statutory law aimed at software contracts. There is no comprehensive consumer privacy act, and no general automatic renewal rule for business subscriptions. For a Charleston healthcare provider or a Morgantown university spinout buying cloud tools, the main state statute is the breach notice law in Chapter 46A, Article 2A, and almost everything else depends on what the SaaS agreement says.

Data rights in West Virginia

As of October 2026, West Virginia has not enacted a comprehensive consumer privacy law. Federal rules and sector-specific laws still apply, but there is less of a statutory backstop, which means the SaaS contract itself is your main protection. Read the data-use, security, and deletion terms closely, because they carry more weight here.

The clauses that decide your risk

  • Data use & AI training, is your data used only to provide the service, or to "improve" (train) the vendor’s models?
  • Liability cap, often just one month of fees, against real data-loss exposure
  • Auto-renewal, the cancellation-notice window (miss it and you renew for a year)
  • Price increases, capped, or unilateral at renewal?
  • Data export & deletion on termination, can you get your data out, and is it deleted?
  • Uptime SLA and service credits

What does West Virginia's breach law require?

W. Va. Code 46A-2A-101 and following require a business that owns or licenses computerized personal information of West Virginia residents to notify affected residents without unreasonable delay after discovering a breach that it reasonably believes has caused or will cause identity theft or fraud. A vendor maintaining data for you must notify you. When more than 1,000 people are notified, the consumer reporting agencies must be told as well.

Because the trigger turns on a reasonable belief of harm, your contract should require the vendor to share enough forensic detail for you to make that judgment.

Where the law is thin, what should you negotiate?

Ask for a data processing addendum even though no West Virginia statute requires one. Limit the vendor's use of your data to providing the service, exclude model training on your data, require deletion or return at the end of the term, and bind subcontractors to the same rules. Set a cancellation window you can realistically meet, since no state law will rescue a missed renewal deadline. Check the liability cap against the cost of notifying customers.

Public buyers are different. West Virginia state agencies attach the WV-96 agreement addendum to vendor terms, which overrides provisions such as automatic renewal and out-of-state governing law. If you resell software to the state, expect the same pushback on your own paper.

West Virginia SaaS agreement FAQ

Does West Virginia have a data privacy law that affects SaaS contracts?

As of October 2026, West Virginia has not enacted a comprehensive consumer privacy law, so there is less statutory backstop. That makes the SaaS contract itself your main protection, the data-use, security, and deletion terms carry more weight, so read them closely.

Can a SaaS vendor use my West Virginia business's data to train AI?

Only if the contract lets them. Many SaaS agreements grant the vendor a right to use "customer data" to "improve the services," which can extend to training models. Regardless of West Virginia law, insist the contract says your data is never used to train shared or general-purpose models and is processed only to provide the service to you.

What should I check before signing a SaaS agreement in West Virginia?

The clauses that decide your risk: how your data can be used (and whether it trains AI), the liability cap versus your data-loss exposure, auto-renewal and the cancellation-notice window, unilateral price increases, and whether you can export and require deletion of your data on termination. ClauseAudit flags each against West Virginia law in about a minute.

Does West Virginia have a consumer privacy law that covers my SaaS vendor?

No comprehensive one as of 2026. West Virginia relies on its breach notice statute and federal sector rules such as HIPAA. That means the SaaS agreement is your main protection for how a vendor uses, shares and deletes data, so review those clauses closely.

When must a West Virginia breach be reported to credit bureaus?

When more than 1,000 people are notified of a breach, W. Va. Code 46A-2A requires notice to the nationwide consumer reporting agencies as well. Make sure your SaaS vendor must report incidents and affected-record counts quickly enough for you to meet that duty.
