Missouri SaaS Agreement Review

Missouri has no comprehensive consumer privacy act, so a St. Louis or Kansas City business buying software relies on the contract for most data protections. The state's breach law, RSMo 407.1500, is the main statute in play. It covers medical and health insurance information, which many older breach laws do not, and gives the Attorney General exclusive enforcement power.

Data rights in Missouri

As of October 2026, Missouri has not enacted a comprehensive consumer privacy law. Federal rules and sector-specific laws still apply, but there is less of a statutory backstop, which means the SaaS contract itself is your main protection. Read the data-use, security, and deletion terms closely, because they carry more weight here.

The clauses that decide your risk

  • Data use & AI training, is your data used only to provide the service, or to "improve" (train) the vendor’s models?
  • Liability cap, often just one month of fees, against real data-loss exposure
  • Auto-renewal, the cancellation-notice window (miss it and you renew for a year)
  • Price increases, capped, or unilateral at renewal?
  • Data export & deletion on termination, can you get your data out, and is it deleted?
  • Uptime SLA and service credits

When must the Missouri Attorney General hear about a breach?

Notice to affected consumers is due without unreasonable delay. If more than 1,000 consumers are notified at one time, the business must also notify the Attorney General and the nationwide credit bureaus of the timing, distribution and content of the notices. A business that maintains data it does not own must notify the owner immediately after discovery.

A business that decides identity theft or fraud is not reasonably likely may skip notice, but must document that decision in writing and keep it for five years.

Penalties and SaaS contract terms

For willful and knowing violations, the Attorney General can seek actual damages and a civil penalty of up to $150,000 per breach or series of similar breaches. There is no private right of action under this section. With no processor law, your SaaS agreement should define permitted uses, require deletion at exit and set a fixed breach reporting window.

What must a Missouri breach notice contain?

Missouri requires the notice to describe the incident in general terms, the type of personal information involved, a phone number for help if one exists, contact details for the credit bureaus, and advice to stay vigilant. Substitute notice is available when direct notice would cost more than $100,000 or reach more than 150,000 consumers, or contact details are missing.

Missouri SaaS agreement FAQ

Does Missouri have a data privacy law that affects SaaS contracts?

As of October 2026, Missouri has not enacted a comprehensive consumer privacy law, so there is less statutory backstop. That makes the SaaS contract itself your main protection, the data-use, security, and deletion terms carry more weight, so read them closely.

Can a SaaS vendor use my Missouri business's data to train AI?

Only if the contract lets them. Many SaaS agreements grant the vendor a right to use "customer data" to "improve the services," which can extend to training models. Regardless of Missouri law, insist the contract says your data is never used to train shared or general-purpose models and is processed only to provide the service to you.

What should I check before signing a SaaS agreement in Missouri?

The clauses that decide your risk: how your data can be used (and whether it trains AI), the liability cap versus your data-loss exposure, auto-renewal and the cancellation-notice window, unilateral price increases, and whether you can export and require deletion of your data on termination. ClauseAudit flags each against Missouri law in about a minute.

Can a Missouri business delay breach notice at police request?

Yes, but only on a written request from a law enforcement agency, or where the business documents an oral request in writing at the time, naming the officer and agency. If your vendor receives such a request, the contract should require it to pass the documentation to you.

Does Missouri's breach law protect health data in SaaS tools?

Yes. Missouri's definition of personal information includes medical information and health insurance information, along with Social Security numbers and financial data. A practice management or benefits SaaS tool holding that data is within the notice duty, in addition to any HIPAA obligations.
