Illinois SaaS Agreement Review

Illinois has no comprehensive consumer privacy law, yet it may be the riskiest state for a careless SaaS purchase because of the Biometric Information Privacy Act, 740 ILCS 14. BIPA requires written consent before collecting fingerprints, face geometry or voiceprints and gives individuals a private right of action. A Chicago employer that rolls out a timekeeping or identity tool without checking the contract can face class claims.

Data rights in Illinois

As of October 2026, Illinois has not enacted a comprehensive consumer privacy law. Federal rules and sector-specific laws still apply, but there is less of a statutory backstop, which means the SaaS contract itself is your main protection. Read the data-use, security, and deletion terms closely, because they carry more weight here.

The clauses that decide your risk

  • Data use & AI training, is your data used only to provide the service, or to "improve" (train) the vendor’s models?
  • Liability cap, often just one month of fees, against real data-loss exposure
  • Auto-renewal, the cancellation-notice window (miss it and you renew for a year)
  • Price increases, capped, or unilateral at renewal?
  • Data export & deletion on termination, can you get your data out, and is it deleted?
  • Uptime SLA and service credits

Why does BIPA matter for a SaaS purchase in Illinois?

BIPA requires a public retention and destruction policy, informed written consent before collection, and a ban on profiting from biometric data. Liquidated damages are $1,000 per negligent violation and $5,000 per intentional or reckless one. A 2024 amendment limited recovery to a single violation per person for repeated collection by the same method, but exposure remains large.

When a vendor's software captures biometrics for you, both parties can be targets. The contract should say who obtains consent, who publishes the retention schedule, and who indemnifies whom.

Breach notice and vendor duties

The Personal Information Protection Act, 815 ILCS 530, requires notice to residents in the most expedient time possible and notice to the Attorney General when more than 500 Illinois residents are affected. A data collector that maintains data it does not own must notify the owner immediately after discovery and cooperate. Violations are unlawful practices under the Consumer Fraud and Deceptive Business Practices Act.

What must an Illinois breach notice say?

Notices to residents must include toll free numbers and addresses for the credit bureaus and the Federal Trade Commission, and explain fraud alerts and security freezes. They must not state how many Illinois residents were affected. A HIPAA covered entity is treated as compliant but must send the Attorney General notice within five business days of notifying federal health regulators.

Illinois SaaS agreement FAQ

Does Illinois have a data privacy law that affects SaaS contracts?

As of October 2026, Illinois has not enacted a comprehensive consumer privacy law, so there is less statutory backstop. That makes the SaaS contract itself your main protection, the data-use, security, and deletion terms carry more weight, so read them closely.

Can a SaaS vendor use my Illinois business's data to train AI?

Only if the contract lets them. Many SaaS agreements grant the vendor a right to use "customer data" to "improve the services," which can extend to training models. Regardless of Illinois law, insist the contract says your data is never used to train shared or general-purpose models and is processed only to provide the service to you.

What should I check before signing a SaaS agreement in Illinois?

The clauses that decide your risk: how your data can be used (and whether it trains AI), the liability cap versus your data-loss exposure, auto-renewal and the cancellation-notice window, unilateral price increases, and whether you can export and require deletion of your data on termination. ClauseAudit flags each against Illinois law in about a minute.

Who is liable under BIPA if a SaaS vendor collects employee fingerprints?

Potentially both the employer and the vendor, depending on who collected, stored or possessed the data. Courts have allowed claims against technology vendors as well as employers. Allocate the consent and policy duties clearly in the contract, and require the vendor to indemnify you for BIPA claims caused by its own handling of the data.

Does Illinois regulate automatic renewal of subscriptions?

Yes. The Automatic Contract Renewal Act, 815 ILCS 601, requires clear and conspicuous disclosure of automatic renewal terms and, for longer contracts, advance notice before the cancellation deadline. Read your SaaS order form for the renewal term and notice window, and diarize the date regardless of whether the statute applies to your deal.
